What Diligent does

Diligent operates in two connected markets. The original business is Diligent Boards, a board portal for distributing meeting materials, running board and committee workflow, managing entity records and handling director communications securely. The second is Diligent One, an enterprise governance, risk and compliance platform covering internal audit and analytics, risk management, controls, third-party risk, ethics and compliance reporting, and sustainability disclosure. The distinguishing commercial fact is that this portfolio was bought rather than built. Diligent acquired Galvanize, itself the merger of ACL and Rsam, for roughly one billion dollars in April 2021, and acquired Steele Compliance Solutions for ethics and compliance. The audit analytics engine that many buyers actually want is ACL heritage, the risk module is Rsam heritage, the hotline and third-party diligence is Steele heritage, and the board portal is a separate lineage again. Diligent One is the effort to present these as one platform. Buyers should test cross-module reporting and single sign-on behaviour in a proof of concept rather than trusting the platform diagram, because the seams are where implementations slip. Buyers are listed companies, regulated financial institutions and large private organisations where a board portal and a GRC programme are both funded.   • Pricing is unpublished and consistently at the top of the market, and organisations that need only one capability, a board portal or an audit analytics tool, generally pay less and get more from a specialist.
  • Renewal leverage is weak once the board portal is embedded, because directors are the least willing user group to be migrated and that dependency is well understood by the vendor at renewal time.
  • The analytics engine expects real data skills, and audit teams without an analytics-capable member typically use a fraction of what they licensed while paying for all of it.
  • Module-by-module implementation means the promised single view of governance and risk usually arrives years after the first purchase, if the later modules are ever funded.
